    We provide regular briefings and can advise on any aspect of the new legislation.
  • Charity Formation
    We advise on the most appropriate vehicle for your charity. The Charities Act creates a new entity, the Charitable Incorporated Organisation, and existing charities may wish to review their status in the light of this.
  • Mergers and Reorganisations
    We can deal with all aspects of merger or amalgamation, including employment and property issues.
  • Fundraising
    We advise on appeals, fundraising and sponsorship agreements. We can also prepare standard legacy and donation wording.

CLIENTS

We acted for the Furlong Research Foundation in its incorporation, involving both the setting up of a new charitable company limited by guarantee and the transfer of the unincorporated trust’s assets and operations to the new company. In addition we were involved in the acquisition of premises and, with the consent of the Charity Commission, the letting of such premises to the charity’s trading subsidiary. We advised on matters of charity, property and employment law in the course of the transaction.

We acted for MacIntyre Charitable Trust (a new client) in connection with its proposed merger with MacIntyre Care, including advice on constitutional and governance issues, the transfer of a JCT Contract (and ancillary agreements) and all aspects of the proposed merger.

We acted for a large public school in connection with the OFT investigation under the Competition Act into an alleged cartel.
